These by-laws govern the operation of the International Association of Open Source Compliance Professionals (IAOSCP).
1. Name: The name of this organization shall be the International Association of Open Source Compliance Professionals (IAOSCP).
2. Purpose: The primary purpose of the IAOSCP is to promote and advance legal compliance in open source software usage, licensing, and risk management, through education, advocacy, and collaboration among professionals.
1. Principal Office: The principal office of the organization shall be located in Newberry Springs, California, or such other location as the Board of Directors may from time to time determine.
1. Eligibility for Membership: Membership is open to individuals who work in open source compliance or have an interest in open source licensing.
2. Classes of Membership: The organization shall have the following classes of membership, which shall be determined by the Board of Directors:
1. Number of Directors: The number of directors shall be no less than three (3) and no more than seven (7).
2. Powers and Duties: The Board of Directors shall have the control and management of the affairs and property of the organization.
3. Election of Directors: Directors shall be elected by the members of the organization, in accordance with procedures established by the Board.
1. Annual Meeting: The annual meeting of the members shall be held at a time and place determined by the Board of Directors.
2. Board Meetings: The Board of Directors shall hold regular meetings at least quarterly.
1. Officers: The officers of the organization shall include a President, Vice President, Secretary, and Treasurer. The Board of Directors may create additional officer positions as needed.
2. Duties: The officers shall perform duties as specified by the Board of Directors.
1. Committees: The Board of Directors may create one or more committees to assist in the governance and operations of the organization.
1. Antitrust Clause: The IAOSCP is committed to fostering an environment of free and fair competition. Members shall not engage in discussions or activities with other members that involve the sharing of sensitive, proprietary, or confidential business information, including but not limited to pricing, marketing strategies, or any other business practices that could be deemed anticompetitive.
a. Prohibited Activities: Members are prohibited from discussing or exchanging information that could influence competitive behaviors, including, but not limited to, pricing, discounting strategies, client lists, marketing tactics, or any internal business practices that could impact the competitive landscape.
b. Consequences: Violations of this antitrust clause may result in disciplinary actions, including suspension or termination of membership in the IAOSCP, as determined by the Board of Directors, in accordance with the severity of the violation.
1. Amendments: These by-laws may be amended by a majority vote of the Board of Directors or the membership, as specified in the Board's policies.
1. Dissolution: In the event of dissolution, the assets of the organization shall be distributed to another organization with a similar purpose or as directed by the California Attorney General.
